Commercial terms for professional customers, ingredient projects, quotations, documentation, samples and B2B supply by We Are Green Wholesale B.V.

These Terms apply to the website, customer workspace, quotations, order confirmations, sample requests, documentation requests and B2B supply of ingredients by We Are Green Wholesale B.V., Keizersgracht 62, 1015 CS Amsterdam, The Netherlands.
We Are Green supplies professional business customers only. These Terms are not consumer purchase terms and the website is not an ecommerce shop.
Customers are responsible for determining whether an ingredient, formulation, dosage, claim, label, finished product, import, export, market placement or application is lawful and suitable for their intended market.
This is especially important for cannabinoids and other regulated functional ingredients, where requirements may vary by jurisdiction, product category, concentration, intended use and route to market.
Nothing in these Terms excludes We Are Green’s responsibility for the agreed quality of supplied goods, mandatory legal obligations or liability that cannot be excluded under applicable law.
Serious project, quotation, documentation, formulation and sample workflows require a company account. We may review company details before granting full workspace access.
Customers must keep account credentials confidential and ensure that information submitted through the workspace is accurate, authorised and up to date.
Quotations are non-binding unless expressly stated otherwise. Availability, pricing, lead times, specifications, documentation and regulatory suitability may change before written order confirmation.
An order becomes binding only when accepted by We Are Green in writing, by order confirmation, invoice or another explicit written acceptance. We may refuse orders where product, regulatory, payment, logistics or compliance conditions are not acceptable.
Product specifications are defined by the applicable quotation, order confirmation, technical data sheet, certificate of analysis or other written documentation supplied for the relevant batch or product.
Samples are supplied for evaluation and do not guarantee final commercial supply, regulatory approval or identical performance in a finished formulation.
Certificates of Analysis, Technical Data Sheets, Safety Data Sheets, product specifications, stability information and regulatory documents are supplied where applicable to the product, project scope and customer relationship.
Functional ingredients, botanical materials, extracts, cannabinoids and microencapsulated ingredients may show reasonable batch-to-batch variation within agreed specifications.
Customers are responsible for storing, handling, processing and using products according to supplied documentation, industry practice and applicable law. Improper storage, handling, mixing or processing may affect quality, stability, performance or suitability.
Unless stated otherwise, prices are exclusive of VAT, taxes, duties, levies, freight, insurance, customs clearance, import charges and other third-party costs.
Payment terms are stated in the quotation, invoice or order confirmation. Where no payment term is agreed, payment is due before shipment. Late payment may result in suspension of delivery, interest, collection costs and withdrawal of credit terms.
Delivery terms are agreed per order, including any applicable Incoterms. If no delivery term is agreed, delivery is Ex Works or another term stated in the order confirmation.
Risk transfers according to the agreed delivery term. Title to goods remains with We Are Green until all amounts owed for those goods have been paid in full, to the extent permitted by law.
Customers are responsible for freight arrangements, insurance, export, import, customs clearance, destination-country requirements and receiving permits unless agreed otherwise in writing.
Customers must inspect delivered goods promptly and notify We Are Green in writing of visible damage, shortage, incorrect delivery or suspected non-conformity as soon as reasonably possible.
Complaints must include order details, batch details, documentation, photographs where relevant and a clear description of the issue. Goods must not be returned or disposed of without written instruction.
Where We Are Green confirms that supplied goods do not meet the agreed specification, the available remedy may include replacement, repair, credit or refund for the affected goods, at We Are Green’s reasonable discretion and subject to applicable law.
Remedies do not apply to issues caused by incorrect storage, handling, processing, formulation, transport after risk transfer, unauthorised repacking, misuse or use outside supplied documentation.
All intellectual property, know-how, formulations, processes, documentation, technical information, trade secrets, product development work and microencapsulation technology owned or developed by We Are Green remain the property of We Are Green or its licensors unless expressly agreed otherwise in writing.
HempCAP™ and We Are Green product names, marks and technical materials may not be copied, reverse engineered, registered, used in marketing or disclosed to third parties without written permission.
Commercial, technical, formulation, pricing, specification and workspace information exchanged between the parties must be treated as confidential unless it is already public or disclosure is required by law.
To the maximum extent permitted by law, We Are Green is not liable for indirect damage, lost profit, lost revenue, production interruption, recall costs, reputational damage or downstream finished-product claims arising from customer formulation, market placement, claims, labelling, storage, handling or regulatory decisions.
Any liability of We Are Green is limited to the invoice value of the affected goods or services, unless mandatory law provides otherwise.
We Are Green is not responsible for delay or failure caused by events beyond reasonable control, including supply shortages, crop or raw material disruption, transport interruption, energy disruption, regulatory changes, export or import restrictions, labour disruption, fire, flood, war, sanctions, epidemic, government action or failure of third-party suppliers.
These Terms and related B2B supply relationships are governed by Dutch law. Disputes will be submitted to the competent courts in The Netherlands, unless mandatory law requires another forum.
We may update these Terms as our products, workspace, commercial workflows or legal requirements evolve. The version published on this page applies unless a different version is agreed in writing.
